Terms of Service

1 Acceptance & Eligibility

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and aictrl.dev ("we", "us", "our") governing your access to and use of the aictrl.dev platform.

By creating an account or using our services, you agree to be bound by these Terms. If you do not agree, you must not use the platform.

To use aictrl.dev, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• If acting on behalf of an organisation, have the authority to bind that organisation to these Terms

2 Service Description

aictrl.dev is an AI workflow orchestration platform for engineering teams. The platform is built on three pillars: a Grounded Backlog that ties AI sessions to your product roadmap, Skills Governance that centralises team playbooks, and a Knowledge Graph that gives agents structural understanding of your codebase.

The platform includes but is not limited to:

• Grounded Backlog — sessions, acceptance criteria, evidence capture, and human approval gates
• Skills Governance — centrally managed AI playbooks and skill library
• Knowledge Graph — codebase understanding, repository integration, and context injection
• Analytics — team dashboards, cost tracking, and workflow insights
• Team and organisation management

We reserve the right to modify, suspend, or discontinue any part of the service with reasonable notice as described in these Terms.

3 Account Registration

Account creation is exclusively via Google OAuth. By signing in with Google, you authorise us to access your basic profile information (name, email address, profile picture) for account creation and authentication purposes.

You agree to the following account terms:

• One person per account — Each account must correspond to a single individual. Shared or group accounts are not permitted
• Accurate information — You must ensure your account information remains current and accurate
• Account security — You are responsible for maintaining the security of your Google account. Notify us immediately if you suspect unauthorised access
• Account responsibility — You are responsible for all activities that occur under your account

4 User Responsibilities

As a user of aictrl.dev, you are responsible for:

• Ensuring your use complies with all applicable laws and regulations
• The accuracy and legality of all content you upload, create, or share through the platform
• Maintaining appropriate access controls within your organisation
• Promptly reporting any security vulnerabilities, bugs, or abuse you discover
• Keeping your authentication credentials secure and not sharing access with unauthorised individuals

5 Acceptable Use

Permitted Use

aictrl.dev is designed for legitimate software engineering workflows, including:

• Managing development sessions and workflows
• Planning and tracking epics, features, and tasks
• Collaborating with team members on software projects
• Creating, sharing, and using development skills and plugins
• Capturing and reviewing evidence of development work

Prohibited Use

You must not use aictrl.dev to:

• Develop or distribute malware — Including viruses, worms, trojans, ransomware, or any other malicious software
• Store or share illegal content — Any content that violates applicable laws, including but not limited to content that infringes intellectual property rights
• Circumvent platform controls — Attempting to bypass rate limits, access controls, authentication mechanisms, or other security measures
• Build competing products — Using the platform, its APIs, or data to develop or operate a competing service
• Engage in abuse — Sending spam, conducting phishing attacks, or harassing other users
• Perform unauthorised testing — Conducting security testing, penetration testing, or load testing without our prior written consent

6 Intellectual Property

Your Content

You retain full ownership of all content you create, upload, or store on aictrl.dev, including code, documentation, epics, tasks, evidence files, and skills you author.

By using the platform, you grant us a limited, non-exclusive, worldwide licence to host, store, process, and display your content solely for the purpose of providing and improving the service.

Our Platform

aictrl.dev, including its design, code, features, documentation, and branding, is our intellectual property or that of our licensors. These Terms do not grant you any right to use our trademarks, logos, or brand elements without our prior written consent.

Skill Library

Skills you publish to the skill library remain your intellectual property. By publishing a skill, you grant other platform users a licence to use that skill within aictrl.dev in accordance with the licence terms you specify.

7 Data Processing

Our collection, use, and protection of your personal data is governed by our Privacy Policy, which forms part of these Terms.

For organisations that require a formal Data Processing Agreement (DPA) for compliance with UK GDPR or EU GDPR, please contact us at legal@aictrl.dev. We will provide a DPA on request at no additional charge.

8 Service Availability

We target 99.5% uptime for our production environment, measured on a monthly basis (excluding scheduled maintenance windows).

This target is a goal, not a guarantee. We will use commercially reasonable efforts to maintain this level of availability but do not offer SLA-backed uptime credits unless agreed under a separate Enterprise agreement.

Scheduled maintenance will be communicated at least 48 hours in advance via email and in-platform notifications where possible.

9 Fees and Payment

The current pricing for aictrl.dev is detailed on our Pricing page. We offer early access to all plans. Paid plans provide access to all features, with pricing based on team size and requirements.

• Billing cycle — Paid plans are billed monthly or annually as selected at time of purchase
• Price changes — We will provide at least 30 days' written notice before any price increases take effect. Existing annual subscriptions will not be affected until renewal
• Refunds — Monthly plans may be cancelled at any time; no refunds are provided for partial months. Annual plan refunds are handled on a case-by-case basis
• Taxes — All prices are exclusive of applicable taxes. You are responsible for any VAT, sales tax, or similar charges

10 Limitation of Liability

To the maximum extent permitted by applicable law:

• Our total aggregate liability for any claims arising from or related to these Terms or your use of the service shall not exceed the total fees paid by you in the 12 months preceding the claim
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities
• We are not liable for any loss or damage arising from events beyond our reasonable control, including but not limited to failures of third-party services, internet outages, or force majeure events

11 Indemnification

You agree to indemnify, defend, and hold harmless aictrl.dev, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of the service in violation of these Terms
• Content you upload, create, or share through the platform
• Your violation of any applicable law or regulation
• Your infringement of any third-party intellectual property or other rights

12 Termination

Termination by You

You may close your account and stop using aictrl.dev at any time. To terminate, use the account deletion option in your profile settings or contact us at legal@aictrl.dev.

Termination by Us

• With notice — We may terminate your account with 30 days' written notice for any reason, including discontinuation of the service
• Immediate termination — We may suspend or terminate your account immediately and without notice if you breach these Terms, engage in prohibited activities, or if required by law

Effect of Termination

Upon termination:

• Your access to the platform will be revoked
• Your data will be retained for 90 days after termination, during which you may request an export of your data
• After the 90-day retention period, your data will be permanently deleted in accordance with our Privacy Policy
• Any outstanding fees remain payable

13 Dispute Resolution

These Terms are governed by the laws of England and Wales. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days from written notice of the dispute. During this period, either party may propose mediation as an alternative resolution mechanism.

Nothing in this section shall prevent either party from seeking injunctive or equitable relief in any court of competent jurisdiction where necessary to protect their rights.

14 General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and aictrl.dev regarding your use of the service. They supersede all prior agreements, communications, and understandings.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Force Majeure

Neither party shall be liable for failure or delay in performance due to causes beyond their reasonable control, including but not limited to natural disasters, war, terrorism, labour disputes, government actions, internet or power failures, or pandemics.

Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
